This agreement is between Man's Best Friend Software., of Oak Forest, IL, the owner and distributor of CompuShow, hereinafter known as MBFS, and the below named clerk, hereinafter known as the Clerk. CompuShow is a computer program written, and Copyrighted (C) by MBFS, 1984-2000, and All Rights Are Reserved. CompuShow is also a trademark of MBFS.

The Clerk may:

• A. ONLY use CompuShow, for shows for which the Clerk is the ONLY advertised entry clerk, and ONLY by the Clerk and/or bonafide employees of the Clerk;
• B. ONLY use CompuShow at the Clerk's address listed below and on ONLY ONE computer unless additional licenses have been purchased for each additional computer to be used;
• C. Copy CompuShow into any machine readable form for backup purposes in support of the Clerk's sole use of CompuShow;
• D. Transfer the license to use CompuShow to another clerk, if:
  • 1. The license has NOT been transferred in the previous year;
  • 2. The Clerk transfers all copies of CompuShow, whether in printed or machine readable form, to the other clerk, and destroys any copies not transferred, this includes portions of CompuShow contained or merged into any other programs;
  • 3. The other clerk executes a copy of this agreement with RCI, and pays MBFS a $100.00 license transfer fee.

The Clerk MUST ALSO INSURE that the following statement is included in legible form and in a prominent place in every show catalog, for which CompuShow was used in any way to produce:

"This show and catalog were produced with the aid of CompuShow, (C) Copyright 1984-2000 by Man's Best Friend Software."

For each show that the Clerk serves as entry clerk, the Clerk MUST provide to the show secretary prior to the show, a floppy disk containing the "Disco-Show" catalog file (that CompuShow can produce) to send to CFA with the show catalog. Any money from CFA for this disk shall belong to the show club.

The Clerk MAY NOT use, copy, modify, or transfer CompuShow, or any copy or modification of CompuShow in whole or in part, except as expressly provided for in this license agreement.

If the Clerk sub-licenses, rents, leases, or allows another party to use CompuShow in any way, and/or if the Clerk transfers possession of any copy, modification or merged portion of CompuShow to another party, without written permission from MBFS, the Clerk's license to use CompuShow will be terminated.

You are hereby advised that CompuShow is protected by both United States Copyright Law and International Treaty Provisions, and if anyone uses and/or allows someone else to use CompuShow, contrary to the provisions stated herein, those parties will be subject to criminal and/or civil prosecution for theft and/or copyright violations.

If ANY copies of the data files produced by the Clerk using CompuShow, or portions of same, are sold or transferred to ANY third party, in a machine readable format, then the Clerk MUST mail a free copy of same to MBFS within 30 days of such sale or transfer. As long as CFA continues to return the "Disco-Show" disks sent in by the show club to MBFS, those data files are excluded from the provisions in this paragraph. Data files, or portions of same, received by the Clerk from MBFS, MAY NOT be sold or transferred in any manner to ANY third party except as part of a complete license transfer.

CompuShow is provided "AS IS" without warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose. In particular, MBFS DOES NOT warrant or guarantee that CompuShow is or will remain compatible with the rules and regulations of CFA. It is the responsibility of the Clerk to determine suitability and compliance with any such rules, and to obtain from MBFS necessary updates to the program, when and if available. The entire risk as to the use, compatibility, and performance of CompuShow is with the Clerk.

In no event will MBFS be liable for any damages, including any lost profits or other incidental or consequential damages arising out of the use or inability to use CompuShow even if MBFS has been advised of the possibility of such damages, or for any claim by any other party. MBFS's entire liability and the Clerk's exclusive remedy shall be the replacement of any diskette(s) found to be defective. MBFS does warrant the diskette(s) on which CompuShow is furnished, to be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of delivery.

All parties to this agreement acknowledge that this agreement is the complete and exclusive statement of this agreement. This license is effective until terminated. The Clerk may terminate it at any other time by destroying all copies in their possession, including any modified and/or merged portions.

The Clerk's address is NOT changeable by the Clerk, but MBFS will make address changes in CompuShow for the Clerk for a fee of $25.00. There is no charge for ZIP code changes made by the U.S.P.S.
